Legal terms and conditions for using Claimpal's document intelligence services

Welcome to Claimpal Business ("Claimpal", "we", "our", "us"). These Terms of Use ("Terms") form a binding legal contract between you ("you", "your", "User", or, if acting on behalf of an organisation, "Customer") and Claimpal (Pty) Ltd., a South African company.

By creating an account, accessing our web or mobile application, uploading a document, or otherwise using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms as well as our separately published Privacy Policy.

If you do not accept these Terms in their entirety, you must not use the Claimpal Service.

1. What Claimpal Is—And What It Is Not

Claimpal is a powerful cloud platform designed to read the insurance-related documents you provide, extract key information with the help of artificial intelligence models, and organise the results to help you make better, more informed operational decisions.

It is critical to understand what Claimpal is not. We do not sell insurance, arrange cover, file claims on your behalf, or provide licensed financial, legal, or risk-management advice. Any insights, summaries, or answers generated by the Service are offered for informational purposes only. They are not a substitute for professional advice from a qualified broker, attorney, or risk manager. You remain solely responsible for your decisions and actions.

2. Eligibility to Use the Service

You may use Claimpal only if you meet the following criteria:

  • You are at least 18 years old or the legal age of majority in your jurisdiction.
  • You have the full legal power and authority to enter into a binding contract with us.
  • Your use of the Service is in full compliance with all applicable laws and regulations, including any export-control or sanctions rules.

If you are using Claimpal on behalf of an organisation (such as a company or partnership), you represent and warrant that you have the authority to bind that organisation to these Terms. In this case, the terms "you" and "your" will refer to both you as an individual and the organisation you represent.

3. Creating and Protecting Your Account

To access the full features of the Service, you must register for an account using a valid email address. You agree to provide information that is accurate and current, and to maintain the accuracy of this information.

You are fully responsible for all activities that occur under your account and for safeguarding your login credentials. We strongly recommend using multi-factor authentication if available. If you suspect that your account has been compromised or used without your permission, you must notify us immediately at hello@claimpal.ai.

We reserve the right to suspend or terminate any account that we believe has been compromised, is being used in breach of these Terms, or poses a security risk to the Service or other users.

4. Your Content and Our License to Use It

4.1. Definition of "Content"

"Content" refers to all documents, files, images, data, text, chat messages, and any other material that you upload, submit, or transmit to the Service.

4.2. Ownership

You retain all right, title, and interest in and to your Content. Claimpal does not claim any ownership rights over the material you provide.

4.3. License Granted to Claimpal

By uploading Content, you grant Claimpal a worldwide, non-exclusive, royalty-free license. This license is granted solely for the limited purpose of:

  • Storing, hosting, and creating backups of the Content.
  • Processing and analysing the Content with AI models to extract structured data, generate summaries, and provide chat responses as part of the Service.
  • Displaying the Content and its analysis results back to you and to other users you explicitly authorise or share it with.
  • Generating aggregated, de-identified data to monitor and improve the Service's performance and features.

This license terminates when you delete your Content from the Service, subject to our standard retention policy for short-term backups as detailed in our Privacy Policy.

4.4. Your Responsibilities for Your Content

You represent and warrant that you have all the necessary rights, permissions, and consents to upload your Content and to grant us the license described above. You further warrant that your Content does not and will not infringe upon any intellectual property, privacy, or other rights of any third party. You agree not to upload any material that is unlawful, defamatory, malicious, or otherwise objectionable.

5. Acceptable Use Policy

You agree that you will not use the Service to:

  • Engage in any fraudulent, deceptive, or illegal activity.
  • Attempt to reverse engineer, decompile, disable, or otherwise interfere with the source code, security features, or integrity of the Service.
  • Upload or transmit viruses, malware, or other malicious code, or use the Service to send spam.
  • Scrape, harvest, or attempt to gain unauthorised access to the data or accounts of other users.
  • Misrepresent the origin or ownership of any Content you upload.

We reserve the right, but do not have the obligation, to monitor activity on the Service and to remove or disable any Content that we believe violates these rules.

6. Service Features and Availability

6.1. Document Storage

Your uploaded files are stored in an encrypted format on secure cloud infrastructure. While we take data integrity seriously, Claimpal is not intended to be your sole system of record. You are responsible for maintaining your own independent backups of your important documents.

6.2. AI-Generated Output

Our Service relies on advanced AI models. This technology is powerful but not infallible. It can make mistakes, misinterpret complex documents, or produce output that reflects inherent biases from its training data. Always verify critical information before acting upon it.

6.3. Compliance and Reminders

Any reminders or alerts generated by Claimpal (such as upcoming policy renewal dates) are provided as a convenience. This information is based on data extracted by the AI or entered manually by you and may be incomplete or inaccurate. You remain solely responsible for meeting all of your contractual and regulatory obligations.

6.4. Availability

We strive for a high level of availability (targeting 99.5% uptime) but do not guarantee that the Service will be uninterrupted or error-free at all times. The Service may be temporarily unavailable due to planned maintenance, emergency updates, or circumstances beyond our reasonable control. We will make a reasonable effort to provide advance notice of any scheduled downtime.

7. Intellectual Property Rights in the Service

Excluding your Content, all intellectual property rights in the Service itself—including the software, visual interfaces, graphics, design, branding, trademarks, and logos—are owned by or licensed to Claimpal. These materials are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, strictly in accordance with these Terms. You may not copy, modify, distribute, sell, publish, or create derivative works from our Service or its components without our prior written consent.

8. Third-Party Services and Links

The Service may contain links or references to third-party websites, services, or portals (e.g., an insurer's website). Claimpal does not control or endorse these third parties and is not responsible for their content, terms of use, or privacy practices. Your interactions with any third party are solely between you and that third party.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, CLAIMPAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI-GENERATED OUTPUT, AND NON-INFRINGEMENT.

WE MAKE NO GUARANTEE THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ACCURATE, RELIABLE, ERROR-FREE, OR THAT ANY OF YOUR DATA WILL BE PRESERVED WITHOUT LOSS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLAIMPAL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR
  • UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

IN NO EVENT SHALL CLAIMPAL'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) ZAR 500 (FIVE HUNDRED SOUTH AFRICAN RAND) OR (B) THE TOTAL AMOUNT YOU PAID TO CLAIMPAL IN SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not fully apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Claimpal and its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your Content; (b) your breach of these Terms; or (c) your violation of any applicable law or the rights of any third party.

12. Modifications to the Terms or Service

We may revise these Terms or modify the Service from time to time to reflect changes in technology, law, or our business practices. If we make a change that we believe is material, we will provide you with at least 14 days' notice, either by email or through an in-app notification, before the new terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms will be brought exclusively in the courts located in Johannesburg, South Africa. Both parties irrevocably consent to the personal jurisdiction of such courts. Nothing in this section shall prevent either party from seeking interim injunctive relief in any court of competent jurisdiction.

14. Termination

You may terminate your agreement with Claimpal at any time by deleting your account through the settings or by contacting hello@claimpal.ai.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms or that your use of the Service creates a risk for us, our other users, or third parties.

Upon termination, your license to use the Service will cease immediately. Sections that by their nature should survive termination will remain in effect, including but not limited to Sections 4 (Your Content), 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law).
